Orion Music Network – Master Terms of Service

These Master Terms (“Master Terms”) govern your membership and participation in the Orion Music Network, operated by:

Orion Promotion B.V., a company registered in the Netherlands (provider of Orion Promotion)
Videorecht Nederland B.V., a company registered in the Netherlands (provider of Orion Distribution)

Together referred to as “Orion”, “we”, “our”.

By joining Orion Music Network or using any of its services, you (“you”, “artist”, “label”, or “user”) agree to these Master Terms.

1. Scope of Agreement

1.1 Network Membership. Orion Music Network (“OMN”) is an umbrella ecosystem providing access to multiple services, including but not limited to:

Orion Promotion – playlist pitching, curator campaigns, and promotional services, operated by Orion Promotion B.V.
Orion Distribution – global digital distribution to 150+ DSPs through Warner ADA, publishing administration, and royalty collection, operated by Videorecht Nederland B.V.
Orion Tools & Ecosystem Services – Orion Radio, Orion Charts, Orion Boost, influencer campaigns, and other features offered exclusively to members.

1.2 Linked Agreements. By using OMN, you also agree to:

In case of conflict between these documents, these Master Terms prevail, except where required by law.

2. Membership & Eligibility

2.1 Membership Approval. Access to OMN is curated. You may apply for Basic, Pro, or Gold Membership. Orion reserves the right to accept or reject applications at its sole discretion.

2.2 Membership Benefits. Depending on your tier, you may access:

Promotion discounts and priority campaigns,
Distribution via Orion Distribution (subject to approval),
Exclusive tools (Orion Radio, Charts, Boost, influencer campaigns),
Curator network and affiliate opportunities.

2.3 Subscription & Fees. Membership fees, payment schedules, and renewal terms are listed on our website. Orion may adjust fees with prior notice.

3. User Responsibilities

3.1 Compliance. You agree to comply with:

All applicable laws, including copyright and fraud regulations,
Spotify/DSP rules and guidelines,
These Master Terms and the linked Promotion/Distribution Terms.

3.2 Prohibited Conduct. You must not engage in:

Streaming fraud or manipulation (bots, click farms, fake accounts),
Submitting infringing or illegal content,
Misuse of curator or affiliate programs,
Abuse of promotions, spam, or misleading activity.

3.3 Account Security. You are responsible for maintaining the confidentiality of your login credentials and all activity under your account.

4. Payments & Royalties

4.1 Distribution Royalties. Royalties are collected and paid under the Orion Distribution Terms.

4.2 Promotion Campaigns. Campaign payments are governed by the Orion Promotion Terms.

4.3 Membership Fees. Fees are non-refundable except where required by law.

5. Intellectual Property

5.1 Your Content. You retain ownership of your music and materials, but grant Orion and its partners a license to distribute, promote, and administer them in line with the Services you use.

5.2 Orion Content. The Orion brand, software, and platform remain the property of Orion and may not be copied or misused.

6. Term & Termination

6.1 Term. These Master Terms remain in force while you are a member or use OMN Services.

6.2 Termination by You. You may cancel membership at any time, subject to obligations under Promotion/Distribution agreements (e.g., publishing minimum periods).

6.3 Termination by Orion. Orion may suspend or terminate membership immediately for:

Fraud, infringement, or breach of these Terms,
Streaming manipulation,
Conduct damaging to Orion’s reputation or network integrity.

7. Liability & Disclaimers

7.1 Disclaimer. Services are provided “as is.” Orion makes no guarantees of playlist placements, streams, or revenues.

7.2 Limitation. Orion’s liability is limited to €100 or the value of your membership fees in the last 12 months, whichever is lower.

7.3 Indemnity. You indemnify Orion, Warner, DSPs, and partners against claims arising from your content, fraud, or breach.

8. Privacy & Data

Orion Music Network processes your data as outlined in the Orion Promotion Privacy Policy and Orion Distribution Privacy Policy, both incorporated here by reference.

9. Governing Law & Disputes

9.1 Law. Dutch law governs these Master Terms.

9.2 Dispute Resolution. Disputes will be resolved by arbitration under the Netherlands Arbitration Institute in Amsterdam, except for urgent injunctive relief.

9.3 Class Action Waiver. You waive the right to participate in class actions.

10. General

Orion may update these Master Terms at any time. Continued use = acceptance.
If any clause is invalid, the remainder remains in effect.
Warner Music Group and DSPs are third-party beneficiaries.
